1. Introduction

1.1 – About VT Model

VT Model is a creative studio specialized in custom visual production for digital creators, virtual artists, and creative brands.
Its services cover a wide range of artistic and technical fields, including 2D avatar design, commercial illustration, rigging, brand design, and graphic production tailored to the Vtuber sphere.

These Terms of Service aim to define the rights and responsibilities of both VT Model and the Client throughout any collaboration.

1.2 – Definitions

– For the purposes of these Terms and Conditions of Service, the following terms are defined as follows:

– VT Model: Refers to the professional artistic activity conducted under this brand name, including all services offered by the provider.

– The Client: Refers to any individual or entity commissioning work from VT Model.

– Order: Any formal service request confirmed by payment, quote acceptance, or completion of an order form.

– Deliverables: The final files provided to the Client as part of the commissioned service, according to agreed specifications (format, resolution, content).

– Illustration: Any custom-made graphic artwork produced by VT Model, whether for personal, commercial, promotional, or editorial use.

– 2D Avatar: A character creation intended for use in a virtual environment (e.g. Vtuber, virtual model, social media, games), either as a static illustration or ready for rigging.

– Rigging: The process of animating and tracking a 2D avatar or an illustration, prepared via the software Live2D.

– Branding: The creation of consistent visual elements to represent a brand, including but not limited to: logos, color palettes, typography, graphic elements, overlays, web interfaces, and other digital assets.

2. Acceptance of Terms and Conditions

2.1 – Acceptance of the Terms

Any order placed with VT Model implies full and unconditional acceptance of the present Terms and Conditions.
They constitute an integral part of the agreement between VT Model and the Client, alongside the approved quote and any written exchanges defining the project scope.

Validation of a quote or payment of a deposit is considered a contractual commitment and confirmation of the project’s commencement under the agreed terms.

2.2 – Legal and Financial Capacity of the Client

The Client declares being at least 18 years old and having full legal and financial capacity to enter into a contract.
If the Client is a minor, they agree to have obtained explicit consent from a parent or legal guardian for any paid order.

VT Model reserves the right to refuse or cancel any order that does not meet these conditions.

3. Scope of Services

VT Model offers a comprehensive range of creative and technical services designed to support both virtual creators (especially VTubers) and creative brands.
Each service is tailored to meet the Client’s specific needs, whether related to visual identity, artistic content, communication, or streaming and virtual media.

The scope of services includes, but is not limited to, the following categories.

3.1 – VTuber 2D Avatar Services

VT Model specializes in the creation of 2D avatars designed to represent the Client’s identity in a virtual environment.
Each model is based on an original design and paired with high-quality visual rendering or animation, providing a solid foundation for the Client’s virtual career.

The services included in this category are:

  • 2D Avatar Design

  • 2D Avatar Artwork

  • 2D Avatar Customization *

  • 2D Avatar Rigging (Live2D) *

  • 2D Avatar Cutting *

* For services marked with an asterisk, the Client must provide a suitable 2D model (in PSD format) and proof of copyright ownership, unless the material was originally created by VT Model.
If these materials are not available, a separate 2D avatar design order may be placed with VT Model.

3.2 – Creative Illustration

VT Model produces original illustrations tailored to a variety of needs, whether artistic, promotional, or commercial.
These visual creations help the Client reinforce their identity, illustrate a fictional or branded universe, or produce effective content for digital communication.

  • Commercial Artwork

  • Character Eesign

  • Portrait & Banners

  • Business Art

3.3 – Brand Design

VT Model creates custom visual identities to strengthen the Client’s visibility and brand coherence, whether they are an individual creator or a creative brand.
Special attention is given to VTuber brand design, with visuals tailored for the virtual scene, streaming platforms, and social media presence.

Services included in this category:

  • Logo Design

  • Brand Aesthetic

  • Website Design

  • Stream Overlay

3.4 – Animations

VT Model offers animation services designed to enhance the visual impact of the Client’s creations, whether for promotional content, illustrated music videos, or animations supporting an artistic universe.
These services help energize the Client’s visual identity and increase the appeal of their creative or commercial projects.

Services included in this category:

  • Animated Illustrations

  • Promotional Animations

  • Animated MVs / Illustrated Music Videos

4. Project Workflow and Delivery Terms

4.1 – Project Scope

Each project commissioned from VT Model is defined by a clear scope, established based on:

– the selected service,

– the Client’s expressed requirements,

– and the validated quote or order form.

This scope typically includes:

  • A description of the expected deliverables (e.g., illustration, avatar rig, logo)

  • The format, resolution, and orientation of final files

  • The number of variations, alternate versions, or design elements included (e.g., outfit versions, facial expressions, animations)

  • The number of revision rounds or adjustments included in the initial quote

  • The estimated or agreed-upon delivery date (deadline)

Any element not explicitly mentioned in the defined project scope is considered out of scope and may require an additional quote or separate commission.

4.2 – Deliverables

Final deliverables are provided to the Client in digital format, either via a secure download link or by email, depending on the nature of the project. They are tailored to match the scope confirmed at the time of order.

Depending on the service ordered, deliverables may include:

  • For 2D Avatars (Vtuber, Virtual Model)
    High-resolution PNG or PSD files, PSDs optimized for Live2D rigging, facial expressions, outfit/accessory variations as per the brief.

  • For Character Designs (non-rigged)
    Full-body character illustrations (front view, profile, or turnaround if specified), delivered in high-resolution JPEG and PDF.
    Variations (outfits, accessories, expressions) are provided based on the Client’s specifications.
    The original PSD file can be included if stated in the quote; additional fees will apply.

  • For Rigging Projects (Live2D)
    Files include .cmo3, .moc3, model3.json, physics setup, and a complete model folder ready for import into VTube Studio.
    The editable Live2D source file (.cmo3) can be provided if stated in the quote; additional fees will apply.

  • For Static Illustrations (artworks and commercial/editorial use)
    PNG, JPG, and PDF files in high definition. Variants (cropped versions, transparent background, etc.) must be defined in the initial order.
    The original PSD file can be provided if stated in the quote; additional fees will apply.

  • For Branding Assets (logos, overlays, web design, etc.)
    Vector files (.AI, .SVG) and raster files (.PNG, .JPG), including variations (light/dark, horizontal/vertical), color palette, fonts, and editable versions if included in the offer.
    The original source file (AI, SVG or equivalent) can be provided if stated in the quote; additional fees will apply.

  • For Animations (Live2D)
    Exported files in MP4, WebM, or GIF format, ready for use (streaming, video, social media, etc.).
    Specific versions (e.g., transparent background, looping, transition animations) can be provided if they are included in the project brief.
    Animation source files (Live2D project, .motion3.json animations, .can3 scenes, etc.) can be delivered if stated in the quote; additional fees will apply.
    Deliverables may include image sequences, sprite atlases, motion JSON files, or layered exports, suitable for integration into engines like Unity or video/animation editing software.
    → The type of deliverable must be specified in the quote. Additional fees may apply.

Important Note
Unless explicitly included in the quote, native project files (e.g., .clip, .ai, .cmo3, .aep, etc.) are not included in standard deliverables, except for 2D Avatars (Vtuber, Virtual Model) where PSD files are provided by default.

5. Delivery Terms

5.1 – Delivery Timeframes

a. General Timeframe
Delivery times are estimated based on the project’s complexity, current workload, and the level of interaction required with the Client.
A detailed quote is required to establish a timeframe, which will be specified within the document.

b. Standard Turnaround
Unless otherwise stated, deliverables are provided within 7 to 90 business days following approval of the final brief and receipt of the initial payment.

c. Complex Projects or Multiple Elements
Projects that include several services (e.g., illustration + rigging + overlay) or require a high level of customization may exceed standard turnaround times.
In such cases, a detailed schedule will be provided to the Client.

d. Client-Related Delays
Any delay caused by late validations, significant changes to the brief, or lack of communication may result in a postponed delivery.
VT Model cannot be held responsible for any delay resulting from such circumstances.

e. Rush Delivery
If the Client requires expedited delivery, a priority service may be offered depending on availability.
This service may involve additional fees.

6. Revisions and Project Closure

6.1 – Revisions and Modifications

a. Definitions and Workflow
A revision is defined as the full set of modification requests submitted at one time by the Client, following the delivery of a project stage or version.
Any new request made after a revision has been processed is considered a separate modification.
At each major stage of the process (e.g., sketch, line art, color, rigging test), the Client will receive a preview for validation.
If no feedback is provided within 7 business days, the step may be considered implicitly approved and the project will proceed.

b. Included Revisions
Each order includes one to two revisions at key stages of the creative process, depending on the type and scope of the project.
Revisions are intended to refine previously approved elements (pose, colors, details) and must remain consistent with the original brief validated with VT Model.
After the conceptual stage (sketch, design proposal), the Client may request reasonable adjustments.
After the finalization stage (final illustration, completed design, animation, etc.), the Client may request minor refinements aligned with the previously approved concept.

c. Major Modifications
Requests involving drastic changes — such as a new pose, character design, style, or artistic direction — after approval of the concept or sketch are considered major modifications.
These require a new quote or substantial additional fees, and may be treated as a new commission.

d. Additional Revisions
Any revision request exceeding the number included in the initial quote, or outside the scope of reasonable adjustments, will incur a separate fee.
A quote or cost estimate will be provided to the Client before resuming work.

6.2 – Project Approval and Closure

a. Validation Steps
Each project includes predefined checkpoints (e.g., sketch, color, rig test, final export).
The Client must approve each stage before proceeding.
If no response is received within 7 business days, the step may be considered implicitly approved.

b. Final Delivery
At the final stage, a download link will be provided to the Client.
Minor corrections must be requested before final approval.
Once final approval is confirmed (via message, email, or usage of the files), no further modifications will be accepted.

c. Reopening After Closure
Any request for changes after final approval must be treated as a new order and will require a new quote.
No reopening fee is charged, but the project will resume only once the new quote is formally accepted.

d. File Archiving
All project files are archived by VT Model for a period of three (3) years from the date of project closure.
After this period, file retrieval is no longer guaranteed.

7. Intellectual Property and Usage Terms

7.1 – Copyright

Unless otherwise specified in the quote or contract, VT Model retains full copyright ownership of all creations produced, including sketches, final designs, avatar models, graphic elements, animations, and delivered files.
The Client receives only a right of use, as defined by the applicable license (personal, indie commercial, or exclusive commercial).
A full transfer of copyright is never automatic and must be the subject of a separate written agreement, with pricing adjusted according to the scope of the transfer.
VT Model reserves the right to showcase the commissioned work in its portfolio, on its website, or in professional publications and promotional content, unless a confidentiality agreement has been established with the Client.
No modification, resale, adaptation, or redistribution of the work beyond the scope of the granted license is permitted without VT Model’s explicit consent. Any breach may result in legal action.

7.2 – Ownership of Files and Designs

All files created as part of a project — including source files (e.g., PSD, CSP, Live2D, vector formats), intermediate versions (sketches, color tests, variants), and final exports — remain the property of VT Model, unless otherwise agreed upon in writing.
The Client is granted usage rights only for the delivered files, as defined by the applicable license, but does not automatically acquire ownership of editable source files, layered formats, or unreleased assets.
The transfer of source files or working files may be considered, but is subject to:
– a prior written agreement,
– a specific additional fee,
– and usage restrictions, particularly if the files are delivered for adaptation by a third party (e.g., rigging, animation, print production).
Except in exceptional cases, working files are not provided free of charge. Any request for partial or complete access to editable project files must be made during the quotation stage, so the offer and pricing can be adjusted accordingly.

7.3 – Usage Terms

a. Authorized Use

The Client agrees to use the delivered creations solely within the scope defined by the license acquired and the conditions stated in the quote or contract.
All use must respect the integrity of the work, the author’s rights, and the specific limitations agreed upon at the time of commissioning.
Use of the creations for personal, commercial, or promotional purposes is strictly limited to what is explicitly permitted under the applicable license. Credit to VT Model must be maintained unless otherwise agreed in writing.
Any adaptation, modification, animation, rigging, or redistribution by a third party requires prior authorization if not already included in the original agreement. Collaborative, team-based, or subcontracted use must be disclosed at the time of ordering to prevent any contractual breach.

b. Unauthorized Use and Violations

Any use that does not comply with the terms outlined in this document is strictly prohibited. This includes, but is not limited to:
– the exploitation of the work beyond the scope of the granted license,
– resale or unauthorized distribution of the creations,
– use in external projects not covered by the original agreement,
– removal or concealment of credit to VT Model without prior consent.
The use of any creation for the production or sale of NFTs (non-fungible tokens), or in any blockchain-related context, is not permitted unless explicitly authorized in writing.
Likewise, using the artwork for training algorithms, generating AI content, or integrating it into automated systems is not allowed.
In the event of a violation, VT Model reserves the right to immediately revoke the usage rights and pursue legal action if necessary.

8. License Types

All creations delivered by VT Model (including illustrations, avatars, rigging, animations, and branding elements) are protected by copyright. Their usage is governed by a license defined during the quotation process and confirmed in the invoice.
By default, any service is subject to the Personal Use License unless another type of license is explicitly agreed upon.

8.1 – Personal Use License

The Personal Use License allows the Client to use the commissioned visuals for non-commercial purposes.
This includes streaming, creating content for monetized platforms such as YouTube or Twitch, and using the visuals on social media (banners, thumbnails, etc.). Passive monetization within this context is permitted.
The artwork or avatar may be modified or rigged by a third party, provided that written permission is obtained from VT Model in advance.
This license does not authorize the creation or sale of merchandise, redistribution of the design, or usage in any commercial or promotional context.
It is non-exclusive, non-transferable, and strictly limited to personal use. Credit to VT Model is mandatory for all public uses of the artwork or character.
VT Model retains full copyright ownership of the creation.

8.2 – Indie Commercial License

The Indie Commercial License is intended for independent creators, freelancers, or small-scale businesses seeking to use the visuals in a limited commercial context.
It includes all rights granted under the Personal Use License and additionally allows:
– the creation and sale of merchandise in small quantities,
– participation in fan conventions,
– operation of a personal online store,
– use in modest commercial projects such as branding or artist promotion,
– minor visual modifications (including rigging), provided that proper credit to VT Model is maintained.
This license is non-exclusive and non-transferable.
It does not authorize distribution through publishers, use by third-party studios, or large-scale commercial exploitation.
Credit to VT Model is required on all commercial outputs.

8.3 – Exclusive Commercial License

The Exclusive Commercial License is designed for large-scale professional projects such as music videos, advertising campaigns, commercial branding, or video games.
It grants the Client exclusive usage rights over the commissioned visuals for a renewable period of five years.
This license authorizes unrestricted commercial use, including mass merchandising, high-visibility branding, and use in professional or editorial contexts, whether digital or physical.
The exclusivity ensures that the commissioned work will not be reused or resold by VT Model to any other client.
This license includes a formal transfer of commercial usage rights for the agreed duration but remains non-transferable to third parties.
Credit to VT Model is optional, depending on the terms of the contract.
Pricing is determined on a case-by-case basis according to the scope and visibility of the project.
A non-disclosure agreement (NDA) can be arranged if required.

9. Liability

9.1 – Liability of VT Model

VT Model commits to delivering services that meet professional quality standards and conform to the terms agreed upon at the time of the order. VT Model’s liability is limited to the proper execution of the commissioned service, within the specified deadlines and conditions.
VT Model cannot be held liable for the consequences of improper use of the creations by the Client, nor for any direct or indirect damages resulting from unauthorized, inappropriate, or diverted usage.
VT Model shall not be held responsible for the impact of the commissioned work when used in editorial, commercial, or promotional contexts by the Client, including cases of public backlash, controversy, or third-party disputes.
In the event of a proven error attributable to VT Model (e.g., a technical error in a delivered file or content not matching the brief), a revision or appropriate compensation may be proposed, within the limits of these service terms.

9.2 – Client Responsibility

The Client is solely responsible for the use of the delivered work. It is the Client’s duty to ensure that the visuals are used lawfully, in accordance with third-party rights, with the acquired license, and with the rules of any relevant platforms or media outlets.
The Client agrees not to use the commissioned work in a defamatory, hateful, discriminatory, illegal, deceptive, or harmful context that could damage the reputation or integrity of VT Model.
Any breach of this commitment may result in the immediate termination of usage rights, without refund, and may lead to legal action.

10. Payment Terms

10.1 – Accepted Payment Methods

All payments must be made via bank transfer or PayPal only.
No other payment methods (including direct credit card payments, checks, cash, or cryptocurrency) are accepted.

10.2 – Payment Terms

Each order is subject to a quote outlining the total cost, payment terms, and deadlines.
Unless otherwise agreed, a non-refundable deposit of 30% to 50% of the total amount is required to confirm the order. The exact percentage depends on the nature and scale of the project.
The remaining balance must be paid before final delivery of any files or completed service.
No final delivery will be made until full payment has been received. In exceptional cases, payment in installments may be arranged, provided that a written schedule is approved in advance.

10.3 – Late or Missing Payments

Any late payment beyond the agreed deadline may result in the immediate suspension of the project and may incur late fees in accordance with applicable legal rates.
In the event of continued non-payment, VT Model reserves the right to cancel the order, retain any deposit paid, and take appropriate action to recover outstanding amounts.

10.4 – Payment Failure Due to Third-Party Services

VT Model shall not be held responsible for any technical issues, restrictions, or limitations encountered by the Client when attempting to make a payment via a third-party service (such as PayPal or a banking provider).
If the payment cannot be completed within a reasonable timeframe, VT Model reserves the right to suspend or terminate the service without any obligation to deliver the work or issue a full or partial refund.

11. Termination

11.1 – Termination by the Client

The Client may request to terminate the project at any time, by written notice (email or dated message).
However, if termination occurs after the order has been confirmed and the deposit paid, the deposit remains non-refundable, regardless of the project stage.

If part or all of the project has already been completed, VT Model reserves the right to invoice proportionally for the work already delivered, even if the remaining balance has not yet been paid.

No usage rights, distribution rights, or publication rights will be granted for any materials (even partially delivered) until all outstanding payments have been settled in full.

11.2 – Termination by VT Model

VT Model reserves the right to terminate any project, without refund or compensation, under any of the following circumstances:

  • clear violation of these Service Terms and Policies;

  • disrespectful, abusive, or threatening behavior by the Client;

  • failure or persistent inability to make payment through accepted methods;

  • provision of false or misleading information (e.g., false identity, lack of rights to submitted materials);

  • unauthorized disclosure of a VT Model artist’s identity (including pseudonyms or aliases);

  • unauthorized disclosure of confidential information or protected content;

  • public sharing of private communications or contractual documents without written authorization;

  • unauthorized use of AI tools based on VT Model’s deliverables;

  • creation or distribution of unauthorized NFTs based on commissioned visuals;

  • deliberate harm to the reputation or integrity of VT Model or its affiliated artists;

  • prolonged lack of communication (more than 30 consecutive days without a response);

  • repeated refusal to approve deliverables that comply with the approved quote or brief.

In such cases, the deposit remains fully retained by VT Model, and any work already completed may be invoiced additionally. No source files, final deliverables, or usage rights will be provided if the termination results from a breach of contract by the Client. Furthermore, any usage rights previously granted to the Client shall be considered automatically null and void, without the need for prior notice.

12. Confidentiality

12.1 – Confidentiality Commitment

VT Model agrees to treat all elements provided by the Client during the course of the project with the strictest confidentiality, including but not limited to:

  • reference documents, briefs, and detailed instructions;

  • personal files, visual assets, technical resources, or branding elements;

  • financial, identity-related, or sensitive data linked to the project;

  • any strategy, concept, or content not intended for public release.

These materials will not be shared or used outside the scope strictly necessary for delivering the commissioned service, and will not be publicly disclosed without prior authorization from the Client.

Likewise, the Client agrees to maintain the confidentiality of all elements shared or created by VT Model during the course of the collaboration, including:

  • sketches, concepts, mockups, or in-progress designs;

  • internal methods, tools, documents, workflows, or shared resources;

  • source files, pre-final deliverables, or unpublished content;

  • the identity of artists or collaborators involved in the creation, especially when they operate under a pseudonym or artist name.

Any unauthorized disclosure of such elements may constitute grounds for immediate termination of the project (see Article 8.2), and may result in legal action if it harms the interests of VT Model.

12.2 – Communication and Portfolio

Unless otherwise stated in writing, VT Model reserves the right to use portions of the completed work (illustrations, designs, animated content, etc.) for self-promotional purposes only, such as portfolio display, social media, or its professional website.

In the case of sensitive projects, a non-disclosure agreement (NDA) or reinforced confidentiality clause may be established, provided the request is made by the Client at the time of signing the quote.

13. Consent and Communication

13.1 – Written Communication

All contractual communication between VT Model and the Client (quotes, approvals, revisions, deliveries, invoicing, etc.) must take place in writing via agreed channels (email, form, or designated platform).
Oral or informal exchanges (chat, voice messages, etc.) shall not be considered binding unless confirmed in writing by VT Model.

13.2 – Consent to Reference Materials

The Client authorizes VT Model to store and consult all reference materials provided for the project (texts, visuals, moodboards, photos, technical files, etc.) for production, consistency, or proof purposes.
These materials will not be shared or used outside the scope of the project without prior written consent.

13.3 – Accuracy of Information Provided

The Client agrees to provide accurate, complete, and up-to-date information at all stages of the project (brief, reference materials, declarations, etc.).
In the event of a deliberate misrepresentation or concealment of essential information, VT Model reserves the right to suspend the service or terminate the contract at the Client’s expense, without refund of any payments made.

14. Legal Terms

14.1 – Limitation of Liability (Legal Clause)

This is a formal legal clause that limits the liability of VT Model under the contractual relationship.

VT Model commits to using all reasonable means to provide high-quality services, in accordance with the expectations defined in the validated quote or brief.
However, VT Model’s liability is strictly limited to the services directly performed and invoiced under the agreement with the Client.

VT Model cannot be held liable for:

  • economic, technical, or legal consequences resulting from the Client’s use of the creations beyond the scope of the acquired license or intended context;

  • loss of revenue, reputation, or business arising from the publication, use, or interpretation of the visuals by third parties;

  • any disputes involving the Client’s partners, subcontractors, or collaborators;

  • technical incompatibilities encountered on platforms, software, or media not specified in advance.

In any case, the total liability of VT Model shall not exceed the total amount paid by the Client for the service in question.

14.2 – Jurisdiction and Applicable Law

These Terms and Conditions are governed by French law.
In the event of a dispute regarding the interpretation, execution, or validity of the agreement, and after an attempt at amicable resolution, the parties agree to submit the matter to the exclusive jurisdiction of the French courts located in the jurisdiction of VT Model’s registered office

14.3 – Force Majeure

Neither party shall be held liable for failure to fulfill its contractual obligations if such failure results from a force majeure event, as defined under French law and applicable jurisprudence.
Force majeure events may include, but are not limited to, natural disasters, pandemics, wars, acts of terrorism, service outages or technical failures beyond the parties’ control, strikes, or unforeseen governmental decisions.
In the event of such circumstances, the affected party must inform the other as soon as possible. The provision of services may be suspended for the duration of the event, without liability or penalties being incurred.

15. Final Provisions

15.1 – Acceptance of the Agreement

Validation of a quote, payment of a deposit, or any explicit confirmation of a project by the Client constitutes full and unconditional acceptance of these Terms and Conditions.
Such acceptance confirms that the Client has read, understood, and agreed to them without reservation. No contractual engagement shall be considered valid without this prior acceptance.

15.2 – Updates to the Terms and Conditions

VT Model reserves the right to modify these Terms and Conditions at any time in order to reflect changes in its services, legal requirements, or contractual needs.
The applicable version is the one in effect at the time the quote is validated by the Client. Any later updates shall not apply retroactively to ongoing projects unless expressly agreed upon by both parties.
